Jun 29, 2024 · The Naresh Chandra Committee was constituted in August 2002 by the Ministry of Corporate Affairs (MCA). The primary trigger for its formation was the increasing number of corporate scandals and failures both internationally and within India. This underscored significant weaknesses in corporate governance.
The Naresh Chandra committee is the third major corporate governance initiative launched in India since the mid-1990s, after the first voluntary code of corporate governance by the Confederation of Indian Industry (CII) in 1998, followed by Clause 49 of the Listing Agreement by SEBI in 2000.
With this in mind, the CII set up a Task Force under Mr Naresh Chandra in February 2009 to recommend ways of further improving corporate governance standards and practices both in letter and spirit. The recommendations of the Naresh Chandra Task Force evolved over a series of meetings.
